Keith A. Krauss, Counsel in the firm's Newark, New Jersey office, heads the Business Law & Commercial Transactions Practice Group.
Mr. Krauss handles all aspects of business advice and transactions on behalf of both existing companies and startups including formation, dissolution and liquidation of corporations, limited liability companies, partnerships and joint ventures; sales and purchases of assets and stock/membership/partnership interests; counseling with respect to and handling of the financing of transactions including conventional and EDA financing and SBA loans; franchising; negotiation, review and preparation of commercial agreements including distribution, manufacturing, sales, assignment and licensing of intellectual property/interests and rights, consulting and employment agreements and private placement stock/membership/partnership offerings and agreements. He also provides legal and strategic advice on matters affecting day to day operations and corporate governance issues.
Prior to joining the firm, Mr. Krauss was a partner in a New Jersey firm specializing in business and commercial law and was general counsel to a comprehensive facilities services company with more than 3,000 employees.
Mr. Krauss belongs to the Essex County, the New Jersey State, and the American Bar Association’s Business and International Law Sections. He is a member of the LLC’s and Partnership Committee, the Intellectual Property Transactions Committee and the Uniform Commercial Code Committee of the ABA’s Business Law Section. He is Vice Chairman of the Board of Trustees of the Essex Catholic Foundation.
Mr. Krauss served as a Director of Janome America, Inc., from 1998 to 2002.
He received his bachelor’s degree, magna cum laude, from Assumption College in 1975, and his Juris Doctor degree from Rutgers University School of Law—Newark in 1978. While in law school, Mr. Krauss served as a legal intern with the office of the New Jersey Attorney General and on the Rutgers Moot Court Board. After law school, Mr. Krauss served as Law Secretary to Honorable Martin J. Kole, Superior Court of New Jersey, Appellate Division, during the 1978 Court Term.
